Marlin Terms and Conditions

Welcome to Marlin, a shipbroking platform owned, designed, developed, and distributed by Kessel Run Industries Pte Ltd, a company registered in the Republic of Singapore ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Marlin platform ("Marlin" or the "Platform"). By accessing or using Marlin, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Eligibility and Account Responsibilities

  • You must be at least 18 years old or have reached the age of majority in your jurisdiction to use Marlin.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to provide accurate, complete, and up-to-date information when creating your account and to update it as necessary to ensure its accuracy.

2. Service Description and Usage Rules

Marlin is a shipbroking platform integrated with Microsoft Teams, designed to facilitate communication, data sharing, and transaction management for maritime professionals.

You agree to use Marlin solely for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

  • Misusing, disclosing, or accessing sensitive or confidential data without proper authorization.
  • Engaging in illegal, fraudulent, or harmful activities.
  • Attempting to disrupt, interfere with, or compromise the functionality, security, or integrity of the Platform.

You must not reverse engineer, modify, or attempt to bypass any technical limitations or security measures of the Platform.

3. Microsoft Teams Integration

Marlin operates within the Microsoft Teams ecosystem. By using Marlin, you acknowledge that you are subject to Microsoft's Terms and Conditions and Privacy Policy, available at Microsoft Privacy Statement.

Kessel Run Industries Pte Ltd is not responsible for Microsoft's data practices, service interruptions, or any issues arising from your use of Microsoft Teams.

4. Data and Intellectual Property

User Content: You retain ownership of any content you submit to Marlin, including messages, channel names, and other user-generated data ("User Content"). By submitting User Content, you grant Kessel Run Industries Pte Ltd a worldwide, non-exclusive, royalty-free, transferable license to use, store, process, and display such content solely for the purpose of operating, improving, and providing the Platform.

Marlin's Intellectual Property: All intellectual property rights in the Platform, including its features, designs, branding, and underlying technology, are owned by Kessel Run Industries Pte Ltd or its licensors. You may not use, reproduce, or distribute any of Marlin's intellectual property without our prior written consent.

You must not infringe upon or misappropriate the intellectual property or personal rights of any third party while using Marlin.

5. Data Protection

We are committed to processing your personal data in accordance with our Privacy Policy and the principles of the General Data Protection Regulation (GDPR). For more information on how we collect, use, and protect your data, please refer to our Privacy Policy.

6. Limitation of Liability

Marlin is provided "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, Kessel Run Industries Pte Ltd's total liability for any claims arising from your use of the Platform is limited to the amount you paid for the service, if any, or SGD 100, whichever is greater.

Under no circumstances shall Kessel Run Industries Pte Ltd be liable for any indirect, consequential, special, incidental, or punitive damages, even if advised of the possibility of such damages.

7. Termination and Suspension

We reserve the right to suspend or terminate your access to Marlin, with or without notice, if you violate these Terms or engage in conduct that we deem harmful to the Platform or other users.

Upon termination, your right to access and use Marlin will immediately cease, and we may delete your account data, subject to any legal obligations to retain certain information.

If you believe your account has been suspended or terminated in error, you may contact us at support@kesselrunindustries.com to address the issue.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of Marlin shall be resolved through binding arbitration in Singapore, conducted by a single neutral arbitrator in accordance with the rules of the Singapore International Arbitration Centre (SIAC). You waive any right to participate in a class action lawsuit or class-wide arbitration.

9. Amendments and Notices

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will notify you of any significant changes via email or through the Platform.

Your continued use of Marlin after such updates constitutes your acceptance of the revised Terms.

All notices related to these Terms will be sent to the email address associated with your account.
